Mr. Mann, in very simple statistical terms, could you describe the company.

Mann

Yes, it is an exploration company listed on the TSX Venture Exchange.

Racz

How many shares do you have and what is the capital structure?

Mann

Racz

11 cents. So the capitalization is about $2 million.

Mann

I think it is $2 .7 million – something like that.

Racz

Now how much cash does the company have?

Mann

Yes, it has $800,000 in cash.

Racz

And what is the main noncash assets of the company?

Mann

We have mineral properties which are located in Manitoba, Canada.

Racz

You have exploratory dealings in Manitoba? Now could you be a bit more descriptive about those assets?

Mann

Yes. Our primary property is the Rocky Lake Property. It is 5,256 hectares; and was discovered in 1987 by Hudson Bay.

Racz

And, how did you get hold of that asset?

Mann

We optioned it from a Manitoba Company which had picked it up after it was dropped by Hudson Bay Over the years Hudson Bay drilled approximately 2300 meters between 1987 to 1991
with mineralization in every hole.

Racz

Now this is customary for small companies to pick up assets dropped by a larger entity?

Mann

Yes, they may have a lot of properties on their books and sometimes they to let a few go…

Racz

And then you come in picture. Did you purchase that property?

Mann

We are earning an interest in the property.

Racz

And are you now earning the assets by drilling?

Mann

By making option payments.

Racz

How much payment do you do a year?

Mann

To date we have paid $170,000.

Racz

This is the only property you have on an option basis?

Mann

we do have others as well.

Racz

Altogether, may I ask you, how much obligation do you have a year for drilling?

Mann

We have no obligation for drilling.

Racz

Except the Rocky Lake property dropped by Hudson Bay?

Mann

There is no obligation for us to drill. However we are drilling.

Racz

Okay, so you have various properties. How did you acquire them in general – purchase or raw deals?

Mann

We acquired them through deals similar to this and option agreements which basically, we make all the option payments to have 100% of the property.

Racz

Is it customary business for companies like you to pick up pieces of property and develop them. This is a business which is flourishing or is it something you develop?

Mann

It is a part of the exploration business that a lot of junior companies basically pick up properties on a option basis without having to purchase them outright while they may make a big discovery.

Racz

If you took all the properties that you own today, how much do you think you could sell them for?

Mann

It’s a big question because obviously we are not looking to sell these as yet. Hopefully we will be able to once we get super duper results.

Racz

So, you are an accumulator of properties; correct? You like to accumulate and acquire additional properties.

Mann

Yes, we are looking for discoveries.

Racz

And, have you ever sold any of the properties that you acquired like this or partially sold or made deal or what? Or benefited from financially?

Mann

Not in this company; we haven’t done it in this company.

Racz

Have you done it in your life in the past? I mean do you have a history of dealing with properties?

Mann

We just did a large deal.

Racz

Under which company? Which company did you do a huge deal?

Mann

I’m chief financial officer and director of a company called Nortec Minerals.

Racz

How large was the deal?

Mann

It is $20.5 million and we closed it beginging of September.

Mr. Mann is a Chartered Accountant with over 30 years of extensive experience in areas of Corporate Finance, acquisitions and financial reporting, and serves as a director and advisor for both public and private companies.

Mr. Mann was a Senior Manager with Price Waterhouse and attained his designation with the same firm in 1982. From 1989 to 2001 he was president of a private real estate development corporation completing industrial, commercial, single and multi-family high-rise residential projects in excess of $200 million. During this time, Mr. Mann was also an active participant in the corporate management of the Boundary Bay Airport in Delta, BC. He was a member of the advisory board of Accelerate Power Systems Inc. formerly Key Capital Group In c, from 2000 to 2001. Mr. Mann is also an advisor and director Eagle Star Minerals Corp. , a TSX-V listed Company.

Rocky Lake Project-Copper-Gold-VMS

Located in the world-class VMS Flin Flon Snow Lake mining district in North Western Manitoba. 65km from the nearest smelter at Flin Flon and 11km SW of the Namew Lake Ni-Cu mine.
5,256 ha, hosted within the Namew Gneiss Complex, includes Namew Lake Mine which produced 2.57 million tonnes grading 0.63% Cu and 1.79% Ni.
Excellent access. Developed infrastructure.
Previous work done in the area by Hudson Bay Minerals (HBM) and Inco which included airborne surveys, ground geophysics and drilling leading to the discovery in 1984 of the Namew Lake Ni-Cu deposit.
The property was discovered in 1987 by HBM after airborne surveys identified 5 km conductor and ground EM outlined 1,500 km conductor.
HBM drilled 10 holes totaling 2,292 metres from 1987, 1990 and 1991 over a length of 1 km. All 10 holes contained mineralization.
In June 2007, QMC completed a 33.5 km of linecutting and a grid was laid out 150 meters west of and parallel to the HBM conductor.
In October 2007, Crone Geophysics completed a 23 km Pulse Time Domain Electromagnetic (PEM) survey.
The Crone PEM survey delineated a strong, 600m long conductor anomaly which was not identified in the previous work carried out by HBM. This work suggests that drilling by HBM intersected footwall chalcopyrite stringers and veinlets, and completely missed the conductor. In addition, the survey identified additional conductors.
The PEM survey anomaly suggests that some of the strongest portions of the original Hudson Bay electromagnetic anomaly were not adequately tested. The drilling appears to have been carried out on the footwall side of the potential mineralized body, thereby missing the main target. Copper mineralization intersected in the Hudson Bay drilling is present as stringers and could represent footwall stringer mineralization adding credence that the main massive sulphide mineralized body may well have been missed. In addition to this the Company has completed an helicopter airborne VTEM survey on the property. The Company has received the necessary permits to drill the PEM conductor anomalies. Total drilling is anticipated to be 2,500 meters and commenced December 2011.
Property has potential similar to HBM's Lalor lake deposit.

Namew Lake Project-Copper-Lead-Zinc-Gold -VMS

These properties are located in the Flin-Flon Greenstone belt and are adjacent to the Rocky Lake Property. The Rocky-Namew Lake Property area is comprised of the area subject to Mineral Exploration Licenses 358A and 359A and the Namew Lake property area is comprised of the area subject to Mineral Exploration Licenses 360A and 361A, with the total property size of 24,691 hectares. The Company evaluated the Manitoba government geological mapping data and the airborne geophysical electromagnetic data and found these areas to have potential to host several volcanogenic massive sulphide bodies.

During the year the Company carried out an helicopter-borne VTEM plus Time Domain EM survey (Geotech) covering all the project licenses and claims (Rocky Lake property) for a total of 2142 line kilometers with 160 metre line spacing over an area of 316 square kilometers. Geotech’s VTEM system has been shown to locate discrete conductive anomalies as well as mapping lateral and vertical variations in resistivity. These conductors could represent hidden volcanogenic massive sulphide mineralized bodies at depth.

Based on the analysis of EM anomaly picking, EM time-constant (TAU) and resistivity depth imaging, twenty one (21) deep targets were selected for Maxwell 2.5D plate modeling, as shown in the attached figure. Maxwell 2.5D plate modeling provides quantitative interpretations of conductors, using conductive plate(s) in a non-conductive medium. It gives target location geometry and conductivity parameters. Out of twenty one (21) targets selected for modeling, fifteen (15) are classified as first priority targets.

The Company has selected five of these priority targets recommended in the Geotech report for test drilling the conductors. The Company has applied for the drill permits to the Manitoba Ministry of Innovation, Energy and Mines and expects these in time for drilling of up to 2500 metres in coordination with drilling on the Rocky Lake property.

Carrot River Property-Gold-Base Metals

The Carrot River property consists of 15 contiguous claims totaling 3,073 hectares, located in the Carrot river belt 140km southeast from the mining centre of Thompson Manitoba. Primary targets are gold and base metals 1,337 metres of scout drilling were completed in the spring of this year. This program of scout drilling on the various gold and massive sulphide geophysical TEM targets indicated that the property needs to be followed up with more systematic diamond drilling. On the gold targets, shear zones with anomalous values were intersected. More systematic drilling on strike and down-dip is warranted for a potential discovery. Same is the case with massive sulphide base metal targets. Values up to 0.8% copper and 1.4% zinc were obtained.

Cinder Lake Property-Rare Earths

The property consists of MEL 427A totalling 5,000 hectares located in north central Manitoba. The property has been optioned to explore for rare earth elements (REEs) it has no previous exploration for REE other than work conducted by Manitoba Geological Survey (MGS, which has comprised a field study in 2008 and regional scale multimedia geochemical and mineralogical surveys in 2000 and 2001. In 1992, Inco conducted a reconnaissance geological survey over the area, which included the MEL, for base metals. Samples from the southern tip of Wickstrom Island within the MEL returned up to 2300 ppm lanthanum, 1300 ppm neodymium, 140 ppm samarium and 44.3 ppm europium. (Inco, MGS Assessment Report 72612). The south eastern part of the Cinder Lake complex hosts a wide range of rocks showing diverse textures and compositions. High resolution aeromagnetic data of the area has outlined the possible shape and size of the CLC. In the south eastern part of the lake, linear magnetic highs coincide with exposures of syenitic pegmatite that appear to occupy the outer shell of a concentrically structured intrusive body. This oval shaped magnetic feature is approximately 10km long and 5 km wide.

The tectonic setting, petrography and size of the CLC are similar to the Maoniuping complex in China the second largest REE deposit in the world (A Chakhmouradian, Ph.D, DGS, MGS 2008).

Racz		Do you have affiliation with several public companies personally?
Mann		Yes I do have affiliations with several public companies.
Racz		So in other words, Quantum is the middle of a whole series of public companies that acquire, explore, sell, develop , merchandise properties.
Mann		Yes
Racz		In other words, we are dealing with Quantum, with a modest market value of let’s say $2.5 million; it is in fact in the middle of several companies and the magnitude of all the companies may be over maybe $20-$30-$50 million.
Mann		Absolutely it could be $50 million. The other deal we did we only sold only 80% - it’s an 80/20 deal.
Racz		So in other words, it is an unknown little company – okay – which is in the middle of a whole network of mining companies in Canada and one benefits from the success of the other and helps also raising money or acquiring properties. Correct?
Mann		Yes.
Racz		So in other words, it’s – well the only similarity I have in mind is the Texas oil business in the 30’s when a couple of guys had owned half of Texas and they were dealing with properties left and right. I think Mr. Hunt was probably the biggest and they created history in developing oil business in America.
Mann		You can say similar. But we are definitely early stage companies, we are explorers and we’re going hunting for….
Racz		In the last few years, did you notice that foreign capital is flooding to the areas that you are operating in? I mean do you find Japanese, Chinese – that money is flooding helping to develop companies like you, because they need … the rare earth companies will definitely attract foreign money?
Mann		Yes, I would say that there is a lot of money that is coming to Canada to the mining industry even from the bigger companies and lot of them Chinese interests.
Racz		Now tell me whether I am right – I have a theory – that we do live in an age of commodities for the simple reason today 7 billion people live in this world and this part of the publicity more and more become middle class and they need all kinds of commodities – raw materials – thus the result – the demand for development and exploration and refineries is growing very rapidly and that growth is not going to slow down. Is it fair?
Mann		It’s fair because with that number of people capital shortage develops.
Racz		Now, let me come to another point – every company needs money. Do you have any idea how you would like to raise money for your company?
Mann		Seriously, we would like to raise it at higher and higher prices.
Racz		You have an unusual capital structure because you are 30 cents and 40 cents warrants and if I add it up, you could pick up $4 million if the warrants are exercised. That’s very unusual. You do keep in mind that you have potentialy $4 million cash coming to your company under certain circumstances. It’s a very big number.
Mann		Yes. Well it’s $4 million – after the end of February the warrant price moves to 40 cents and it will be at $5 million.
Racz		Well certainly better than $2 million – okay. So in other words you have a $5 million potential – by the way, can you trade in those warrants – are they tradable?
Mann		No, they’re not tradable.
Racz		So how do people acquire those warrants?
Mann		Well they have to exercise them. They have to exercise and give the money to the company.
Racz		But can I buy the warrants from the current holder?
Mann		No you cannot because they are not transferable. Whoever beneficially owns them, they have to stay with them, but you can buy the shares exercised from the warrants.
Racz		In Vancouver there are some of the greatest stock buyers and sellers. I knew some of them like Sam Belzberg.
Mann		Okay – Andrew your properties are easily accessible – the main property is only 11 kilometers from a past producing mine; we’re about 60 kilometers from a smelter which is owned by Hudson Bay Company – so these properties that we have picked up – they are picked up with a lot of work which is done by us , consultants and our geologists – so there’s a lot of work that goes into them before we go ahead and make any acquisitions, right?
Mann		Yes.
